Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") are a legal agreement between you and XReach ("XReach," "we," "us," or "our"), the operator of the Nazex Enterprise Operating System platform ("Nazex" or the "Service").

By creating an account, accepting an invitation, or using any part of the Service, you agree to be bound by these Terms. If you are using Nazex on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and references to "you" throughout include that organization.

If you do not agree to these Terms, do not create an account or use the Service.


2. Eligibility

2.1 Age

You must be at least 18 years old to create an account or use Nazex. By using the Service, you represent that you meet this requirement. Nazex is not intended for use by minors.

2.2 Business Use

Nazex is designed for business use. The Service is not intended for personal, household, or consumer purposes. By using Nazex, you confirm that you are using it in a commercial or organizational capacity.

2.3 Geographic Availability

We do not represent that the Service is appropriate or available in every jurisdiction. You are responsible for complying with local laws and regulations that apply to your use of the Service.


3. Accounts and Authentication

3.1 Account Creation

When you register for Nazex, you create an account associated with your email address. You are responsible for providing accurate information during registration, maintaining the security of your password, and all activity that occurs under your account.

3.2 Password Security

You are responsible for choosing a strong password and keeping it confidential. Do not share your password with anyone else. If you suspect unauthorized access to your account, notify us immediately at hello@nazex.app and change your password.

3.3 Email Verification

We send a verification email when you register. While email verification is not required to access the Service, we strongly encourage you to verify your email address. Unverified email addresses cannot receive certain communications.

3.4 Multiple Users

Organization administrators may invite additional users to the workspace. Each invited user must create their own account. You may not share accounts between individuals.

3.5 Super-Admin Accounts

Certain platform-level administrator accounts are operated by XReach personnel only. These accounts are not available for general registration and are used solely for platform operations and support.


4. Organizations and Workspaces

4.1 Organization Provisioning

When you register as the first user on a new Organization, Nazex creates an isolated workspace (tenant) for that Organization. Your Organization's data is logically separated from all other Organizations' data on the platform.

4.2 Organization Administrator

The user who registers a new Organization is assigned the "admin" role. Administrators can invite and manage team members, configure workspace settings, enable and disable capabilities, connect third-party channels, and access all data within the workspace.

4.3 User Roles

Nazex supports multiple user roles within an Organization (currently: admin, reviewer, worker). Administrators are responsible for assigning appropriate roles to team members.

4.4 Organization Ownership

The Organization exists independently of any individual user account. If the original administrator account is deleted or deactivated, the Organization's data is not automatically deleted. Organizations should ensure that at least one active administrator account exists at all times.


5. Acceptable Use

5.1 Permitted Use

You may use Nazex for lawful business purposes consistent with these Terms and any applicable law.

You must not use Nazex to:

Unless XReach has entered into a separate written agreement with your Organization specifically authorizing the processing of that data type, you must not use Nazex to store or process:

If you are a healthcare organization and wish to use Nazex to process PHI, contact us at hello@nazex.app to discuss whether a separate Business Associate Agreement is available. Until such agreement is in place, PHI must not be entered into the platform.

5.4 Responsibility for Your Content

You are solely responsible for all data, content, and information that you or your team members enter into Nazex. We are not responsible for errors, inaccuracies, or illegal content that you introduce into the platform.


6. Intellectual Property

6.1 Our Property

Nazex, including its software, design, engines, user interface, documentation, and all platform features, is owned by XReach and protected by intellectual property laws. These Terms do not grant you any ownership interest in Nazex. You receive only the limited right to use the Service as described in these Terms during the period your subscription is active.

"Nazex," "XReach," and related proprietary names and logos may not be used without our prior written consent.

6.2 Your Content

You retain ownership of all data and content that you enter into Nazex. You grant XReach a limited, non-exclusive license to process, store, and transmit your data as necessary to operate the Service and deliver the features you have activated. This license does not permit us to use your data for any other purpose.

6.3 Feedback

If you provide suggestions, ideas, or feedback about Nazex, you grant XReach the right to use that feedback without restriction or compensation to you.


7. Customer Content and Data

7.1 Your Data Is Yours

All operational data entered by your Organization belongs to your Organization. We act as a processor of that data on your behalf.

7.2 Data Accuracy

You are responsible for the accuracy and legality of the data you enter. We do not verify the accuracy of data you input.

7.3 Data Export

You are responsible for exporting any data you wish to retain before your subscription ends or your account is closed. We do not provide automated data export at this time. To request a data export, contact privacy@nazex.app.

7.4 Personnel Data

If you use the People module to maintain records about employees, contractors, or other personnel, you are acting as the data controller for that personal data. You are responsible for having a lawful basis to collect and process that data, informing the individuals whose data you enter, and responding to any rights requests those individuals direct to your Organization.


8. AI-Assisted Features

8.1 Current AI Features

Nazex currently offers AI-assisted content generation for certain workflows, including AI product enrichment and AI marketing content generation. These features are available on qualifying subscription plans.

8.2 Third-Party AI Processing

AI features are powered by third-party AI providers (currently Anthropic, PBC). When you use an AI feature, the content you submit is transmitted to the provider for processing. You should not submit sensitive personal data, confidential business information, or regulated data through AI features.

8.3 AI Output Is Not Guaranteed

AI-generated content is provided for your convenience and review only. AI output may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing all AI-generated content before using it, publishing it, or relying on it in any business decision. XReach makes no representations about the accuracy, reliability, or fitness for purpose of any AI-generated output.

8.4 AI Quotas

AI feature usage is subject to per-Organization quotas as defined by your subscription plan. We reserve the right to throttle or block AI feature usage that exceeds defined limits or that appears to be automated abuse.

8.5 AI Feature Availability and Control

XReach reserves the right to disable AI features globally, for specific functionality, or for a specific Organization at any time, including in response to provider outages, abuse, or regulatory requirements.


9. Third-Party Integrations and Connected Channels

9.1 Social Media Channels

Nazex allows you to connect your Organization's social media accounts (Facebook Page, Instagram, Facebook Marketplace, TikTok, LinkedIn) using OAuth authorization. When you connect a channel, you authorize Nazex to access and post to that account when you instruct it to. Nazex stores your OAuth tokens in encrypted form for the duration of the connection. Each platform's terms of service govern your use of that platform.

You are responsible for ensuring that your use of connected channel integrations complies with each platform's terms of service, including content policies, copyright rules, and advertising disclosures.

9.2 No Endorsement

Nazex's ability to integrate with third-party platforms does not constitute an endorsement of those platforms or a guarantee of their continued availability.


10. Subscription Plans and Billing

10.1 Trial Period

New Organizations begin with a trial period (currently 14 days) during which the Service is available at no charge. No payment information is required during the trial period.

10.2 Plan Features

Different features of Nazex are available on different subscription plans. We reserve the right to change plan features with reasonable notice.

10.3 Future Billing

Self-service billing and subscription management are not yet available in the platform. Organizations requiring paid plans beyond the trial period should contact hello@nazex.app. Billing terms for paid subscriptions will be set out in a separate order or agreement.

10.4 Suspension for Non-Payment

Organizations that have entered into a paid subscription agreement and fail to pay amounts due may have their workspaces suspended after reasonable notice.


11. Service Availability and Beta Features

11.1 No Uptime Guarantee

We strive to maintain high availability but do not guarantee any specific uptime level. We may perform maintenance, updates, or emergency interventions at any time. Where feasible, we will provide advance notice of planned maintenance.

11.2 Beta Features

Some features in Nazex are designated as beta or under active development. Beta features may be incomplete, unstable, or subject to significant change. They are provided "as is" without any warranty and may be discontinued at any time without notice.

11.3 Service Modifications

We reserve the right to modify, update, or discontinue any part of the Service at any time. We will make reasonable efforts to provide advance notice of material changes that affect paid subscribers.


12. Suspension and Termination

12.1 Termination by You

You may close your account at any time by contacting hello@nazex.app. Closing your account does not entitle you to a refund of any paid amounts, unless otherwise agreed in writing.

12.2 Suspension or Termination by XReach

We may suspend or terminate your account or your Organization's workspace if you materially breach these Terms and fail to cure the breach within 7 days of notice (or immediately for breaches involving illegal activity, security threats, or prohibited data), if your trial period expires without a paid subscription, or if we are required to do so by applicable law.

12.3 Effect of Termination

Upon termination of your subscription, your access will be revoked and your Organization's data will be retained for a limited period to allow for reactivation or data retrieval, after which it will be permanently deleted. Provisions of these Terms that by their nature survive termination (including Sections 6, 7, 14, 15, 16, and 17) will remain in effect.


13. Support Access

XReach support personnel may access your Organization's workspace when you open a support request that requires investigation of your data, to investigate security incidents, or as required by law. All support access is logged with the accessing administrator's identity, the scope of access, the stated reason, and timestamps.


14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, XREACH DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF AI-GENERATED CONTENT; WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS; AND WARRANTIES THAT ANY DEFECTS IN THE SERVICE WILL BE CORRECTED.

No advice or information obtained from XReach, whether oral or written, creates any warranty not expressly stated in these Terms.


15. Limitation of Liability

15.1 XREACH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF XREACH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

15.2 XREACH'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO XREACH IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED DOLLARS (USD $100).

15.3 THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF THE LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages, in which case our liability will be limited to the minimum extent permitted by applicable law.


16. Indemnification

You agree to defend, indemnify, and hold harmless XReach, its officers, directors, employees, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, your violation of any third-party right, data or content you enter into Nazex, or your use of AI-generated content without adequate review.


17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms are governed by the laws of [State/Jurisdiction — to be filled], without regard to conflict of law principles.

17.2 Disputes

Any dispute arising from these Terms or your use of the Service will be resolved through binding arbitration administered by [Arbitration Body — to be filled] under its rules in effect at the time of the dispute, except that either party may seek injunctive relief in a court of competent jurisdiction for claims involving intellectual property or unauthorized access.

17.3 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

17.4 Jurisdiction for Injunctive Relief

For matters not subject to arbitration, you agree to submit to the exclusive jurisdiction of the courts located in [State/Jurisdiction — to be filled].


18. General

18.1 Entire Agreement

These Terms, together with the Privacy Policy and any separate written agreement you have entered into with XReach, constitute the entire agreement between you and XReach regarding the Service.

18.2 Severability

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

18.4 Assignment

You may not assign these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

18.5 Force Majeure

XReach is not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including internet outages, infrastructure failures, natural disasters, or government actions.


19. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this document and, where feasible, provide notice by email or in-platform notification before the changes take effect. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
